Please read these Terms of Service ("Terms") carefully before using the Rax AI website and API services operated by Rax AI ("us", "we", or "our"). These Terms form a legally binding agreement governing your use of our platform. By accessing or using the Service in any way, you agree to all provisions herein. If you do not agree, please discontinue use immediately.
By accessing, browsing, registering for, or using Rax AI's website, API, platform, or any associated services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference. These Terms constitute a binding legal agreement between you ("User," "you," or "your") and Rax AI and its affiliates, subsidiaries, officers, directors, employees, agents, and licensors ("Rax AI," "we," "us," or "our"). If you are entering into this agreement on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity. If you do not have such authority, or if you do not agree to these Terms, you must not access or use the Service. Your continued use of the Service following any amendments to these Terms constitutes your acceptance of those changes. If you do not agree with any part of these Terms, your sole remedy is to discontinue your use of the Service.
The Service is available only to individuals who are at least 18 years of age, or the age of majority in your jurisdiction if higher, and who are not barred from receiving the Service under applicable law. By using the Service, you represent and warrant that: • You are at least 18 years old or the applicable age of majority in your jurisdiction. • You have the legal capacity and authority to enter into, perform, and comply with these Terms. • You are not located in, or a national or resident of, any country subject to a U.S. government embargo or trade sanction. • You are not on any prohibited or restricted party list maintained by any government. • All information you provide is accurate, current, and complete. Rax AI reserves the right to refuse service to anyone, at any time, for any reason, at its sole and absolute discretion.
To access certain features of the Service, you may be required to register for an account. By registering, you agree to: • Provide accurate, current, and complete information during registration and keep that information up to date. • Maintain the confidentiality of your account credentials, including your password and API keys. • Accept full responsibility for all activities that occur under your account, whether or not authorized by you. • Immediately notify Rax AI of any unauthorized use of your account, API key, or any other security breach. • Not share your account or API keys with any third party without prior written consent from Rax AI. • Not create multiple accounts for the purpose of bypassing usage limits or restrictions. Rax AI will not be liable for any loss or damage arising from your failure to comply with these obligations. You may be held liable for losses incurred by Rax AI or others due to unauthorized use of your account or API keys. Rax AI reserves the right to suspend or terminate your account at any time for any violation of these Terms or any conduct we deem harmful to the Service, other users, or our business interests.
Access to Rax AI's API is subject to the following conditions: • You may only use the API for lawful purposes and in accordance with these Terms and any applicable documentation. • You are responsible for all API requests made using your API keys, regardless of who initiates them. • Rax AI reserves the right to impose, modify, or waive usage quotas, rate limits, and access restrictions at any time without notice. • We may monitor your API usage to ensure compliance with these Terms, to prevent abuse, and to ensure service quality for all users. • You agree not to circumvent, disable, or otherwise interfere with any security features, rate limiting, or access control mechanisms of the Service. • You may not sublicense, resell, or redistribute API access without express prior written consent from Rax AI. • You may not use the API to build a product or service that competes directly with Rax AI's offerings. Rax AI reserves the right to suspend or terminate your API access immediately if, in our sole judgment, your usage violates these Terms, endangers the safety or stability of the platform, or adversely affects other users.
You agree that you will not use the Service, directly or indirectly, to: • Violate any applicable local, state, national, or international law or regulation, including but not limited to export control laws, privacy laws, and intellectual property laws. • Transmit, generate, or store any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, hateful, or racially or ethnically offensive. • Generate, distribute, or facilitate the spread of misinformation, disinformation, propaganda, or synthetic media intended to deceive. • Develop, train, or improve competing AI models or systems using outputs from the Service without express written permission. • Attempt to gain unauthorized access to any part of the Service, other user accounts, or any computer systems or networks connected to the Service. • Interfere with or disrupt the integrity or performance of the Service or any data contained therein. • Upload or transmit any material that contains viruses, trojan horses, worms, or any other malicious or harmful code. • Engage in any automated scraping, data harvesting, or mass collection of data from the Service without prior written consent. • Use the Service to generate or disseminate spam, phishing schemes, or other deceptive communications. • Engage in or facilitate any form of fraud, identity theft, or financial crime. • Infringe upon the intellectual property rights, privacy rights, or any other rights of any third party. Rax AI reserves the right—but has no obligation—to review, refuse, remove, or disable access to any content or use that, in our sole judgment, violates these Terms or is otherwise objectionable. Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account and may be reported to law enforcement authorities.
The Service, including all software, algorithms, AI models, text, graphics, logos, icons, images, audio clips, digital downloads, and data compilations, is the exclusive property of Rax AI and its licensors and is protected by applicable intellectual property laws, including copyright, trademark, patent, and trade secret laws. Rax AI grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your own internal business purposes in accordance with these Terms. You may not: • Copy, reproduce, distribute, republish, download, display, post, or transmit any part of the Service in any form or by any means without prior written permission. • Reverse engineer, decompile, disassemble, or attempt to derive source code from any software component of the Service. • Modify, create derivative works of, or adapt the Service or any part thereof. • Remove, alter, or obscure any proprietary notices, labels, or marks on or in the Service. • Use Rax AI's name, logo, or trademarks without our prior written consent. Any feedback, suggestions, or ideas you provide to Rax AI regarding the Service ("Feedback") shall be owned exclusively by Rax AI. You hereby irrevocably assign to Rax AI all right, title, and interest in and to such Feedback, and Rax AI shall be free to use such Feedback for any purpose without compensation to you. You retain ownership of any content you submit through the Service ("User Content"). By submitting User Content, you grant Rax AI a worldwide, royalty-free, non-exclusive, sublicensable license to use, reproduce, adapt, publish, and distribute such content solely to the extent necessary to provide and improve the Service.
Certain features of the Service are offered on a subscription or pay-per-use basis. By subscribing to or purchasing any paid features, you agree to: • Pay all applicable fees in accordance with the pricing and billing terms in effect at the time of purchase. • Provide accurate and complete billing information, including a valid payment method. • Authorize Rax AI to charge your payment method for all fees incurred. • Accept responsibility for all applicable taxes, duties, and levies associated with your purchase. Subscriptions automatically renew unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the then-current billing period. All fees are non-refundable except as required by applicable law or as expressly stated in a separate written agreement. Rax AI reserves the right to change pricing at any time. We will provide reasonable notice of any pricing changes before they take effect. Failure to pay fees may result in suspension or termination of your access to the Service. Rax AI may charge interest on overdue amounts at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.
Rax AI does not guarantee that the Service will be available at all times or free from errors, interruptions, or defects. The Service is provided on an "as is" and "as available" basis. We reserve the right, at any time and without notice, to: • Modify, suspend, discontinue, or terminate the Service or any portion thereof, temporarily or permanently. • Impose limits on or restrict access to parts or all of the Service for any reason. • Perform maintenance, upgrades, or security checks that may result in temporary interruptions. Rax AI shall have no liability to you or any third party for any modification, suspension, or discontinuation of the Service. We will make reasonable efforts to notify users of significant planned outages or service changes.
The Service may contain links to third-party websites, services, or resources that are not owned or controlled by Rax AI. Rax AI has no control over and assumes no responsibility for the content, privacy policies, practices, or availability of any third-party websites or services. We do not endorse, guarantee, or assume responsibility for any products or services advertised or offered by third parties through the Service or any linked websites. You acknowledge and agree that Rax AI shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any such third-party content, goods, or services. We encourage you to review the terms and privacy policies of any third-party services you access through or in connection with our Service.
If the Service allows you to post, submit, publish, or otherwise make available content, you are solely responsible for such content and the consequences of sharing it. Rax AI does not endorse any User Content or any opinion, recommendation, or advice expressed therein. By making any User Content available through the Service, you represent and warrant that: • You own or have the necessary rights, licenses, and permissions to the User Content. • The User Content does not violate any third party's intellectual property rights, privacy rights, or any applicable law. • The User Content is not defamatory, obscene, harmful, threatening, or unlawful. Rax AI reserves the right, at its sole discretion, to remove, edit, or refuse any User Content at any time, without notice and for any reason, including content that violates these Terms or that we find objectionable.
Rax AI reserves the right, in its sole discretion, to suspend or terminate your account and access to the Service, with or without notice and with or without cause, including but not limited to: • Violation of any provision of these Terms. • Conduct that we believe is harmful to other users, third parties, or Rax AI's business interests. • Requests by law enforcement or other governmental authorities. • Unexpected technical, security, or legal issues. • Periods of extended inactivity. Upon termination, your right to access and use the Service immediately ceases. We may delete your account data and any content associated with your account, though we may retain certain information as required by law or for legitimate business purposes. Provisions that by their nature should survive termination (including, without limitation, intellectual property ownership, warranty disclaimers, indemnity, and limitations of liability) shall survive termination. You may terminate your account at any time by contacting us at [email protected]. Termination of your account does not relieve you of any obligations to pay outstanding fees.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. RAX AI AND ITS AFFILIATES, SUBSIDIARIES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS HEREBY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO: • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. • WARRANTIES THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS. • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS. • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT, DATA, OR RESULTS PROVIDED THROUGH THE SERVICE. • WARRANTIES THAT AI-GENERATED OUTPUTS ARE ACCURATE, COMPLETE, SUITABLE FOR ANY PURPOSE, OR FREE FROM BIAS. No advice or information, whether oral or written, obtained by you from Rax AI or through the Service shall create any warranty not expressly stated in these Terms.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RAX AI, ITS AFFILIATES, SUBSIDIARIES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, OR LICENSORS BE LIABLE FOR ANY: • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. • LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES. • COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES. • DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. • DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA. • DAMAGES ARISING FROM ANY THIRD-PARTY CONDUCT OR CONTENT. THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF RAX AI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN JURISDICTIONS WHERE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES IS NOT PERMITTED, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW. IN ALL OTHER CASES, RAX AI'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO RAX AI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100).
You agree to defend, indemnify, and hold harmless Rax AI and its affiliates, subsidiaries, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: • Your violation of these Terms or any applicable law or regulation. • Your User Content or your use of the Service. • Your violation of any third party's rights, including intellectual property rights or privacy rights. • Any misrepresentation you make in connection with the Service. • Your use or misuse of AI-generated outputs, including any decisions you make based on such outputs. Rax AI reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. You agree to cooperate with our defense of such claims and not to settle any such claim without Rax AI's prior written consent.
PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS. Any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or any breach, termination, enforcement, interpretation, or validity thereof (collectively, "Disputes") shall be resolved exclusively through binding arbitration, except that either party may bring individual claims in small claims court. The arbitration shall be conducted by a recognized arbitration authority under its applicable rules. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. You agree that any arbitration shall be conducted on an individual basis only and not as a class action, consolidated action, or representative proceeding. BY AGREEING TO THESE TERMS, YOU AND RAX AI EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. Notwithstanding the foregoing, Rax AI reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.
These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya, without regard to its conflict of law principles. For any disputes not subject to arbitration, you consent to the exclusive personal jurisdiction of the courts located in Nairobi, Kenya. If you access the Service from outside Kenya, you do so at your own risk and are responsible for compliance with local laws. Rax AI makes no representation that the Service is appropriate or available for use in all locations. Nothing in these Terms shall limit Rax AI's right to seek injunctive or other equitable relief in any jurisdiction.
The Service incorporates artificial intelligence and machine learning technologies. You acknowledge and agree that: • AI-generated outputs may be incomplete, inaccurate, biased, or unsuitable for your specific use case, and must not be relied upon without independent verification. • Rax AI does not represent that AI outputs constitute professional, legal, medical, financial, or any other form of regulated advice. • You are solely responsible for any decisions, actions, or inactions you take based on AI-generated outputs. • AI models may be updated, replaced, deprecated, or taken offline at any time without notice, which may affect the consistency or availability of outputs. • You must not use the Service to generate or disseminate content that could constitute illegal advice or that could harm individuals, groups, or the public. • Rax AI reserves the right to filter, modify, or block any prompts or outputs at its sole discretion to ensure compliance with applicable laws, ethical standards, or platform guidelines.
Rax AI reserves the right, at its sole discretion, to modify, update, or replace these Terms at any time. If we make material changes, we will provide notice by updating the "Last Updated" date at the top of this page, sending an email to the address associated with your account, or by other prominent means. Your continued use of the Service after any such changes take effect constitutes your acceptance of the new Terms. If you do not agree to the revised Terms, you must stop using the Service. We encourage you to review these Terms periodically. In the event of a conflict between prior and current versions of these Terms, the most recent version shall prevail.
These Terms, together with our Privacy Policy, Disclaimer, and any other policies incorporated by reference, constitute the entire agreement between you and Rax AI concerning the Service and supersede all prior or contemporaneous communications, whether electronic, oral, or written, between you and Rax AI regarding the Service. • Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. • No Waiver: Rax AI's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. • Assignment: You may not assign or transfer your rights or obligations under these Terms without Rax AI's prior written consent. Rax AI may freely assign or transfer its rights and obligations. • Force Majeure: Rax AI shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, power outages, or internet failures. • Headings: Section headings are for convenience only and shall not affect the interpretation of these Terms.
